1. Agreement to Terms
By downloading, installing, or using Shippy ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Shippy is a desktop API client that allows users to test API endpoints, manage environments, and collaborate with teams. The Service is available in two modes:
Solo mode: Free offline use for individual developers. No account required.
Team mode: Paid collaborative features including organizations, shared workspaces, real-time sync, and granular permissions. Requires an account.
3. Accounts
To access team features, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account.
4. Pricing and Payment
Team mode is billed at $5 per user per month. Pricing is subject to change with 30 days' prior notice to active subscribers.
Payment is processed through a third-party payment provider. By subscribing, you authorize recurring charges to your selected payment method.
All fees are non-refundable except as required by applicable law.
5. Free Solo Mode
Solo mode is provided free of charge for individual, offline use. We reserve the right to modify the scope of free features with reasonable notice. Solo mode does not require an account and stores all data locally on your device.
6. Organizations and Teams
Organization administrators are responsible for managing members, workspaces, and permissions within their organization. Administrators may invite or remove members and control access to workspaces.
When you are invited to an organization, you agree that the organization administrator may manage your access to shared workspaces, including revoking access at any time.
7. User Conduct
You agree not to:
Use the Service to violate any applicable law or regulation
Attempt to gain unauthorized access to the Service or its related systems
Reverse engineer, decompile, or disassemble the Service
Redistribute, sublicense, or resell the Service
Use the Service to transmit malicious code or interfere with other users' access
Use automated means to access the Service in a manner that exceeds reasonable use
8. Intellectual Property
The Service, including its design, code, and documentation, is owned by PKRV LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
Your API collections, requests, environment variables, and other content created within the Service remain your property. We claim no ownership over your data.
9. Import Features
Shippy allows you to import collections from third-party API clients. You are responsible for ensuring you have the right to export and import such data. We are not affiliated with and make no representations about third-party services.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
In solo offline mode, all data is stored locally on your device. We do not have access to locally stored data.
In team mode, workspace data is synced through our servers to enable real-time collaboration. We use encryption in transit to protect this data.
11. Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as available" basis.
We may perform maintenance, updates, or modifications to the Service that may temporarily affect availability. We will provide reasonable notice for planned maintenance where possible.
12. Termination
You may stop using the Service and delete your account at any time. Upon account deletion, your personal data will be removed in accordance with our Privacy Policy.
We may suspend or terminate your access to the Service if you violate these Terms, with notice where practicable. In the event of termination, you will have a reasonable period to export your data.
13. Limitation of Liability
To the maximum extent permitted by applicable law, PKRV LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages for loss of data, revenue, or business opportunity.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your specific requirements or that results obtained from the Service will be accurate or reliable.
15. Indemnification
You agree to indemnify and hold harmless PKRV LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
16. Governing Law
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in El Paso County, Colorado.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
If you disagree with updated Terms, you may stop using the Service and delete your account.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PKRV, LLC regarding the Service and supersede any prior agreements.
